Board of Directors GENERAL DUTIES OF BOARD DIRECTORS The business and affairs of St. Barnabas Christian Preschool shall be govern and managed by the Board of Directors. NUMBER, TENURE AND QUALIFICATIONS: The Board of directors of the preschool shall be no fewer than five (5) or more than twelve (12) and shall include the officers of the preschool and the Director of the preschool. Terms start June 1st and end May 31th with a two year term and members shall serve without compensation. The majority of the members of the Preschool Board shall be members in good standing of St. Barnabas Lutheran Church. The President or Vice President of the Preschool Board shall be a member in good standing of St. Barnabas Lutheran Church. The Senior Pastor of St. Barnabas Lutheran church shall be an ex officio member of the Preschool Board. ANNUAL MEETINGS: The Board of Directors shall hold their annual meeting within one (1) week of the annual membership meeting at which they were elected, at a time and place mutually agreed upon by a majority of the Board members. REGULAR MEETINGS: The Board of Directors shall meet at when scheduled once a month at the preschool or a mutually agreed upon place. Board members are expected to attend at least 75% of the monthly meetings during their 2 year term. Failure to do so may result in review of their membership. SPECIAL MEETINGS AND EVENTS: The President, Vice President, or any two (2) Board members may call special meetings of the Board of Directors for any purpose at any time. It is the Board of Directors responsibilities to help out during special preschool functions during the year including but not limited to: Open House Parent Orientation (2nights) Registration Daddy and Me (Approximately 2 hrs per function. Extraneous circumstances will be considered by the board.) NOTICE OF MEETINGS: Notice of meetings shall be given at least (5) days in advance of said meeting. Any Board member may waive notice of any meeting prior to the time of notice as such meeting. The attendance of a Board member at a meeting shall constitute a waiver of notice for such meeting. QUORUM: A SIMPLE MAJORITY OF THE Board of Directors shall be necessary to constitute a quorum for the transaction of business. The acts of a majority of the Board members shall be the acts of the Board of Directors. VOTING: Each Board member is entitled to one vote. Absentee voters and proxies may be accepted.
